QFMA Fines Ezdan Holding Group QR10 Million

Doha: Qatar Financial Markets Authority (QFMA) fined Ezdan Holding Group an amount of QR 10 million for violating Article No. 7 of 2019, after the Accounting Committee of the QFMA, in its 10th session for 2022, issued a decision imposing a financial penalty on Ezdan Holding Group Company in the aforementioned amount.

The Accounting Committee of QFMA decided, in a document published on its website, to recover the profits realized from committing the violation, starting from March 21, 2019, until the time of freezing the shares, in addition to obligating Ezdan Holding Group Company to correct the violation by eliminating the overrun percentage to comply with the decision of the Board of Directors of QFMA No. 1 of 2016 in a gradual manner within (one year), provided that the company is not allowed to benefit from the overrun amount with regard to voting rights in the General Assembly, or in the management of the Qatari Investors Group Company.

The committee’s decision also included referring the Ezdan Holding Group Company to the investigation committee regarding possible violations of Decision No. 1 of 2016 regarding the shares owned by Cayman funds in other listed companies and notifying the company of the decision with a warning of its right to appeal within 15 days from the date of the notification.

The Accounting Committee issued the aforementioned decisions based on Law No. 8 of 2012 regarding the QFMA.

الدوحة: غرمت هيئة قطر للأسواق المالية مجموعة إزدان القابضة مبلغا قدره 10 ملايين ريال قطري لمخالفتها المادة رقم 7 لسنة 2019، بعد أن أصدرت لجنـة المحاسبة بهيئـة قطـر للأسواق الماليـة بجلستها العاشرة لسنة 2022، قرارا بفرض جزاء مالي على شركة مجموعة إزدان القابضة بالمبلغ المشار إليه.

وقررت لجنة المحاسبة بهيئة قطر للأسواق المالية في وثيقة نشرت على موقعها استرجاع الأرباح المتحققة من ارتكاب المخالفة ابتداء من 21 مارس 2019 حتى وقت تجميد الأسهم، بالإضافة إلى إلزام شركة مجموعة إزدان القابضة بتصحيح المخالفة بالتخلص من نسبة التجاوز لتتوافق مع ما جاء في قرار مجلس إدارة هيئة قطر للأسواق المالية رقم (1) لسنة 2016 بطريقة تدريجية خلال (سنة واحدة) على ألا يسمح للشركة الاستفادة من مقدار التجاوز فيما يتعلق بحقوق التصويت في الجمعية العامة، أو في إدارة شركة مجموعة المستثمرين القطريين.

كما تضمن قرار اللجنة إحالة شركة مجموعة إزدان القابضة إلى لجنة التحقيق بشأن الانتهاكات المحتملة لقرار رقم 1 لسنة 2016 بشأن الأسهم المملوكة لصناديق الكايمان في الشركات المدرجة الأخرى وإخطار الشركة بالقرار مع التنبيه بحقها في التظلم خلال خمسة عشر يوما من تاريخ الإخطار.

جدير بالذكر أن لجنة المحاسبة أصدرت القرارات سالفة الذكر بناء على القانون رقم 8 لسنة 2012 بشأن هيئة قطر للأسواق المالية.
