Nebras expands footprint in Jordan’s power sector

DOHA: Nebras Power (Nebras) and Nebras Power Investment Management BV (NPIM) have announced that they have entered into a Sale and Purchase Agreement (SPA) to acquire the AES Corporation’s (AES) interest in three Jordanian power projects together with Mitsui and Co., Ltd, QNA reported.

Nebras currently owns a circa 24 percent in each of the 3 projects. Mitsui and Co., Ltd currently owns a 40 percent interest in each of the 3 projects. The closing of the acquisition is subject to obtaining approval from lenders to each of the project companies.

Upon closing, NPIM will be a majority shareholder and will have operational control on these plants, which have an aggregate capacity of more than 650 MW representing more than 14 percent of the current installed capacity in Jordan.

All power plants are located in Al Manakher, 15 km east of Amman. IPP1 Power Plant and IPP4 Power Plant started commercial operations in August 2009 and July 2015 respectively.

Speaking on the occasion, Nebras’ Chairman, Fahad Hamad Al-Mohannadi said, “This step is in line with the vision of Nebras’ Board of Directors to place the company as a successful international company, and we are continuing the development and investments with our international partners in power generation and water desalination projects regionally and globally. The expansion of our investments in Jordan is a result of the trust and confidence we have in the Jordanian energy market and its regulations over the last few years.”

Commenting on the deal, CEO of Nebras Khalid Mohammed Jolo said, “Nebras started its investment activities in 2014, in continuation to our current 4 investment in Jordan, we are proud to enter in this transaction to support these investments. This indicates the importance of the Jordanian power market for us. The company continues its commitment to expand its investments with balanced steps and diversification in terms of geographies and technologies. This step is in line with the company’s long-term strategy to expand and strengthen its international presence and expertise. This project is consistent with our goals for development of infrastructure projects that support the development and economic growth through making available part of the electricity demands needed in the country.”

In addition, Chief Business Development Officer at Nebras Power Faisal Obaid Al Siddiqi, stated: “We are pleased to enter into this transaction which is an expression of our strong partnership with the Hashemite Kingdom of Jordan. With the addition of these projects, Nebras and its partners provide over 700 MW to the electricity grid of Jordan, contributing to the steady growth in energy demand and the stabilization of the energy sector in the country.”

أعلنت شركة «نبراس للطاقة» وشركة «نبراس لإدارة الاستثمار بي. في» (Nebras Power Investment Management B.V» (NPIM»، عن توقيعهما اتفاقية للاستحواذ على حصة شركة «أيه إي أس كوربورشن» (AES Corporation) الأميركية في 3 مشاريع قائمة لتوليد الكهرباء في المملكة الأردنية الهاشمية، وذلك بالشراكة مع شركة «ميتسوي أند كو ليمتد» اليابانية (Mitsui& Co., Ltd.).

تمتلك «نبراس للطاقة» حالياً حوالي 24%، كما تمتلك شركة ميتسوي حصة 40% في كل من هذه المشاريع. علماً بأن اتمام الاستحواذ في هذه الصفقة سوف يتطلب الحصول على موافقة الجهات الممولة لهذه المشاريع.

المساهم الأكبر

عند إتمام الصفقة، ستكون شركة «نبراس لإدارة الاستثمار بي في» هي المساهم الأكبر في هذه الشركات، وستقود عمليات التشغيل في هذه المحطات والتي تقدّر قوتها الإنتاجية الإجمالية بحوالي 650 ميجاواط، وهو ما يمثل ما يزيد على 14% من إجمالي الطاقة الكهربائية المركبة في المملكة الأردنية.

تقع محطات توليد الكهرباء هذه في منطقة المناخر، على بعد 15 كم شرق العاصمة الأردنية عمّان، ولقد بدأت محطة شرق عمّان لتوليد الكهرباء ومحطة (IPP4) لتوليد الكهرباء عمليات التشغيل التجاري في أغسطس 2009 ويوليو 2015 على التوالي؛ بينما من المتوقع أن تبدأ محطة «إيه أم للطاقة الشمسية» تشغيلها التجاري في يوليو 2019.

بهذه المناسبة، صرّح السيد فهد بن حمد المهندي، رئيس مجلس إدارة شركة نبراس للطاقة معلقاً على الاتفاقية: «تتماشى هذه الخطوة مع رؤية مجلس إدارة نبراس للطاقة في جعلها شركة عالمية ناجحة، ونحن مستمرون في التطوير والاستثمار مع شركائنا العالميين في مشاريع لتوليد الطاقة وتحلية المياه إقليمياً وعالمياً. إن التوسع في استثماراتنا في المملكة الأردنية هو نتيجة للثقة الكبيرة التي بنيناها في سوق الطاقة الأردني وأنظمته خلال السنوات القليلة الماضية».

تعزيز الاستثمارات

من جهته، صرّح السيد خالد محمد جولو، الرئيس التنفيذي لـ «نبراس»: «بدأت نبراس أنشطتها الاستثمارية في النصف الثاني عام 2014، واستمراراً لاستثماراتنا الأربعة القائمة في المملكة الأردنية، فنحن فخورون بإتمام هذه الصفقة لتعزيز هذه الاستثمارات، مما يدل على أهمية سوق الطاقة الأردني بالنسبة لنا». كما أضاف السيد جولو: «ستلتزم الشركة بمواصلة التوسع في استثماراتها بخطوات متزنة وبتنوع من الناحيتين الجغرافية والتكنولوجية تماشياً مع استراتيجية الشركة طويلة الأمد لتوسيع وتعزيز وجودها العالمي وخبرتها الاستثمارية. إنَّ هذه الصفقة تتفق مع أهدافنا لتطوير مشاريع البنية التحتية التي تدعم التنمية والنمو الاقتصادي والاجتماعي من خلال توفير جزء من احتياجات الكهرباء اللازمة». واختتم السيد جولو كلمته بتوجيه الشكر إلى أعضاء الفريق على جهودهم وتعاونهم، والذي تُوّج بالتوقيع على اتفاقية الاستحواذ.

متانة

كما أضاف السيد فيصل الصديقي، رئيس إدارة تطوير الأعمال في نبراس معلقاً على الصفقة: «يسرنا إتمام هذه الصفقة التي تمثل تعبيراً عن مدى متانة شراكتنا مع المملكة الأردنية الهاشمية. مع إضافة هذه المشاريع، ستقوم نبراس للطاقة وشركائها بتوفير أكثر من 700 ميجاواط لشبكة الكهرباء الأردنية، مما سيساهم في دعم النمو المطرد في الطلب على الكهرباء واستقرار قطاع الطاقة في المملكة».
